23. Arbitration.

In the event that a dispute arises among the parties to this Agreement concerning any of the provisions of the Agreement, including without any limitation any claims that a party has breached any portion of this Agreement, the dispute will be resolved by final and binding arbitration in Atlanta, Georgia pursuant to the then existing Commercial Arbitration Rules of the American Arbitration Association. The arbitrator(s) will apply the law of the State of Georgia, United States of America, as to both substantive and procedural questions. Such arbitration will take place before a single arbitrator, provided the amount is dispute claimed by the party applying for arbitration (irrespective of any amount disputed in counterclaim) is less than One Million U.S. Dollars (U.S. $1,000,000.00), or three (3) arbitrators, if the amount in dispute claimed by the party applying for arbitration is One Million U.S. Dollars (U.S. $1,000,000.00) or more. If there is a single arbitrator, then the arbitrator will be agreed upon by the parties to the arbitration. In the event the parties cannot agree upon an arbitrator within twenty (20) calendar days after the effective date of receipt of either party’s notice to arbitrate, the arbitrator will be appointed pursuant to the Commercial Arbitration Rules of the American Arbitration Association. If there are to be three arbitrators, each party will select one arbitrator, and the two arbitrators will select a third arbitrator. If the two arbitrators are unable to agree on the third arbitrator, then the third arbitrator will be selected by the American Arbitration Association in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The decision of the sole arbitration or the majority decision of the panel of arbitrators will be final and binding on the parties to this Agreement. Judgment upon the sole arbitrator award or upon the majority award of the arbitrators may be entered by any court of competent jurisdiction. All documents and papers submitted to the arbitrator will be in the English language or accompanied by a competent English translation thereof.
The parties agree that each party to the arbitration is to pay an equal part of the deposit fixed by the American Arbitration Association or the arbitrator. The determination(s) of such arbitrator(s) or arbitral tribunal will be final and binding upon the parties to the arbitration, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction, or application may be made to such court for a judicial acceptance of the award and an order of enforcement, as the case may be.
